1. Agreement to These Terms
By accessing the Stable Digital website or logging into the Client Portal, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use our platforms.
These Terms may be updated from time to time. We will notify registered users by email before any material change takes effect. Your continued use of the platforms after the effective date of any update constitutes acceptance of the updated Terms.
These Terms must be read together with our Privacy Policy and, for clients, the Client Service Agreement. In the event of any inconsistency between these Terms and the Client Service Agreement, the Client Service Agreement prevails.
2. Accounts
2.1 Account creation
To access the Client Portal, you must create an account. When creating an account, you must provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your account information.
2.2 Account credentials
You are responsible for:
- Maintaining the confidentiality of your account credentials (username and password).
- All activity that occurs under your account, whether or not authorised by you.
- Notifying Stable Digital immediately at hello@stabledigital.au if you suspect any unauthorised access to your account.
2.3 Authorised users
You may invite additional authorised users to access your account through the Client Portal. You are responsible for all activity by authorised users on your account. You must remove authorised users promptly when their access is no longer required.
2.4 One account per subscription
Each Stable Digital subscription is associated with one client account. You may not share your account credentials with third parties outside your organisation.
3. Acceptable Use
3.1 Permitted use
You may use the Stable Digital website and Client Portal solely for the purpose of managing your subscription to Stable Digital's digital marketing services, reviewing content and reports, and managing your account settings.
3.2 Prohibited conduct
You must not:
- Use the platforms for any unlawful purpose or in breach of any applicable law, including the Spam Act 2003 (Cth), the Australian Consumer Law, or the Privacy Act 1988 (Cth).
- Attempt to gain unauthorised access to any part of the platforms, Stable Digital's systems, or any other system connected to the platforms.
- Upload, transmit, or distribute any content that is defamatory, obscene, threatening, harassing, or that infringes any third-party Intellectual Property Rights.
- Use automated tools (bots, scrapers, crawlers) to access or extract data from the platforms.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Attempt to reverse-engineer, decompile, or disassemble any software or AI systems used to power the platforms.
- Use the platforms to develop competing products or services, or to benchmark Stable Digital's AI systems for commercial purposes.
- Introduce malware, viruses, trojans, or any other malicious code into the platforms.
- Circumvent, disable, or interfere with any security features or access controls of the platforms.
- Share, publish, or disclose Stable Digital's AI prompt templates, system architecture, or any Confidential Information accessed through the platforms.
3.3 Content standards
Any content you upload, submit, or publish through the Client Portal (including brand assets, business descriptions, and communications to Stable Digital) must:
- Be accurate and not misleading.
- Not infringe the Intellectual Property Rights, privacy, or other rights of any third party.
- Not constitute spam, false advertising, or misleading conduct under the Australian Consumer Law.
- Comply with all applicable advertising codes and standards, including the Australian Association of National Advertisers (AANA) Code of Ethics.
4. The Client Portal
4.1 Portal features
The Client Portal provides access to:
- Your subscription management, billing history, and plan settings.
- The onboarding wizard and ongoing brand information management.
- Content calendars and the ability to preview scheduled posts (where approval workflow is enabled).
- Monthly Performance Reports and historical reporting data.
- Platform connection management (OAuth connections to Authorised Platforms).
- Support and communication with Stable Digital.
4.2 Content approval workflow
Clients may enable a content approval workflow through the Client Portal. When this workflow is enabled:
- AI-Generated Content will be held in a draft queue for the Client's review and approval before publication.
- The Client must approve or reject content within the timeframes set out in Schedule 2 of the Client Service Agreement. Content not actioned within the approval window will be auto-published according to the configured schedule.
- Enabling the approval workflow does not reduce Stable Digital's commitment to deliver content on the cadences set out in Schedule 2.
4.3 Portal availability
Stable Digital will use commercially reasonable endeavours to make the Client Portal available 24 hours a day, 7 days a week. The Client acknowledges that the Portal may be temporarily unavailable due to scheduled maintenance, unplanned outages (infrastructure failures, security incidents, or third-party service disruptions), or force majeure events.
Stable Digital does not guarantee any specific uptime level for the Client Portal as part of the standard subscription. Enterprise SLA arrangements are available on application.
5. Intellectual Property
5.1 Stable Digital platform IP
All Intellectual Property Rights in the Stable Digital website, Client Portal, software, AI systems, prompt library, multi-agent orchestration framework, brand, and associated materials vest in Dotdothorse Pty Ltd (trading as Stable Digital). Nothing in these Terms transfers any Intellectual Property Rights to you.
5.2 Permitted use of platform
Stable Digital grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Client Portal for the purpose of managing your subscription. This licence does not include the right to sublicence, resell, or create derivative works based on the platform.
5.3 Feedback
If you provide Stable Digital with feedback, suggestions, or ideas about the platforms or services, you grant Stable Digital a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose, without obligation or compensation to you.
6. Third-Party Platforms
The Client Portal contains links to and integrations with third-party platforms and services (including Google, Meta, Stripe, and other Authorised Platforms). Stable Digital is not responsible for the content, privacy practices, or terms of service of any third-party platform. Your use of third-party platforms is governed by those platforms' own terms.
When you connect a third-party platform via OAuth, you are authorising Stable Digital to access and act on your behalf within that platform, subject to the permissions you grant. You may revoke these permissions at any time through the Client Portal or directly through the third-party platform.
7. Limitation of Liability
To the maximum extent permitted by law, Stable Digital is not liable for any loss or damage arising from:
- Your use of or inability to access the Client Portal or website.
- Any errors, interruptions, or unavailability of the platforms.
- Unauthorised access to your account caused by your failure to maintain credential security.
- The actions of any third-party platform connected through the Portal.
- Any reliance you place on content or information available through the platforms.
These limitations apply to the fullest extent permitted by law and do not limit any rights you may have under the Australian Consumer Law.
8. Suspension and Termination
Stable Digital may suspend or terminate your access to the Client Portal and website if:
- You breach these Terms or the Client Service Agreement.
- We reasonably believe your account has been compromised or is being used for fraudulent purposes.
- Your subscription has been terminated or suspended.
- We are required to do so by law or court order.
Upon termination of your subscription, your access to the Client Portal will be deactivated. You will have a thirty (30) day window to export your data. After this period, we may delete your account and associated data in accordance with our Privacy Policy retention schedule.
9. Governing Law and Disputes
These Terms are governed by the laws of Queensland, Australia. Any dispute arising from these Terms will be resolved in accordance with the dispute resolution process set out in the Client Service Agreement. For visitors who are not clients, any dispute will be referred to mediation in Brisbane before legal proceedings may be commenced.
